These Terms & Conditions ("Terms") govern your access to and use of the Leadbig website, and any software development, web development, mobile app development, design, AI automation, or digital marketing services ("Services") provided by Leadbig ("Leadbig," "we," "us," or "our").

By browsing this website or engaging us for any Service, you agree to be bound by these Terms. If you do not agree with any part of these Terms, please do not use our website or engage our Services.

Effective date: July 1, 2026.

Leadbig provides software development, web development, mobile app development, UI/UX design, AI automation, SEO, digital marketing, and related digital services. The specific scope, deliverables, timeline, and pricing for each engagement are defined in an individual project agreement, proposal, or scope-of-work document signed by both parties.

Where these Terms conflict with a signed project agreement or scope-of-work document for a specific engagement, the terms of that agreement take precedence for that engagement only.

To help us deliver your project on time and to specification, you agree to:

• Provide accurate, complete project information and respond to requests for feedback or approvals in a timely manner.
• Ensure you hold the necessary rights, licenses, and permissions for all content, brand assets, and materials you provide to us for use in your project.
• Make payments according to the schedule agreed in your project proposal or invoice.
• Designate a single point of contact authorized to make decisions and provide sign-off on behalf of your organization.

Delays in providing feedback, assets, or approvals may affect the project timeline and are not attributable to Leadbig.

• Upon full and final payment for a project, ownership of the agreed final deliverables (source code, designs, and content created specifically for you) transfers to you.
• Leadbig retains the right to display completed work in our portfolio, case studies, and marketing materials unless a signed non-disclosure agreement (NDA) states otherwise.
• Third-party assets used in your project — including stock images, fonts, plugins, libraries, and templates — remain subject to the license terms of their original providers, and are not owned by Leadbig or transferred to you beyond the scope of those licenses.
• Leadbig retains full ownership of its internal tools, proprietary frameworks, boilerplate code, and methodologies used to deliver your project, even where they are incorporated into your final deliverables.

• Projects are typically billed as an upfront advance followed by milestone-based payments, as detailed in your project proposal.
• Work may be paused if a scheduled payment is not received within the agreed timeframe, and project timelines will be adjusted accordingly.
• All prices are quoted in Indian Rupees (INR) unless otherwise agreed in writing.
• Goods and Services Tax (GST) is applicable on all invoices in accordance with Indian tax law and will be added to quoted prices where applicable.

Timelines shared during scoping or proposal stages are good-faith estimates based on the information available at the time. Actual delivery dates depend on the scope of the project and the timeliness of client feedback, approvals, and asset delivery.

Leadbig is not responsible for delays caused by the client, including late feedback, missing content or assets, delayed approvals, or unavailability of client stakeholders.

Neither party is liable for delays or failures to perform caused by events beyond reasonable control, including natural disasters, internet or infrastructure outages, government action, or other force majeure events.

Both parties agree to keep project details, business information, and materials shared during the engagement confidential, and not to disclose them to third parties without consent, except as required by law.

A formal non-disclosure agreement (NDA) is available on request for projects involving particularly sensitive information.

Client data collected in connection with a project is handled in accordance with our Privacy Policy.

• Leadbig is not liable for any indirect, incidental, special, or consequential damages arising from the use of our Services or deliverables.
• Our total liability for any claim arising from a Service is limited to the total amount paid by you for that specific Service.
• We are not responsible for outages, downtime, or failures of third-party services we integrate with or rely on, including hosting providers, payment gateways, APIs, or advertising platforms.

Either party may terminate an ongoing engagement by providing 14 days' written notice to the other party.

Work completed up to the point of termination is billable and payable in full. Refunds for advance payments, where applicable, are governed by our Cancellation & Refund Policy.

These Terms are governed by and construed in accordance with the laws of India.

Any disputes arising out of or relating to these Terms or our Services are subject to the exclusive jurisdiction of the courts of Chennai, Tamil Nadu, India.

Before initiating any legal proceedings, both parties agree to first attempt to resolve the dispute amicably through direct negotiation in good faith.

We may update these Terms from time to time to reflect changes in our Services, legal requirements, or business practices. The "Last updated" date at the top of this page reflects the most recent revision.

Continued use of our website or Services after changes are posted constitutes acceptance of the updated Terms.
